End User License Agreement
The End User License Agreement that governs your use of Chord Finance.
Effective October 20, 2026
Version 1.0
Effective date: 20 October 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "your") and Aqua Flamingo Labs Inc. ("Aqua Flamingo Labs", "we", "us", or "our") governing your installation, access to, and use of the Chord desktop application, including any accompanying software, updates, and documentation (collectively, the "Application").
Please read this Agreement carefully before using the Application. By clicking "I Agree", by installing the Application, or by otherwise accessing or using the Application, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not install, access, or use the Application, and you must stop using it.
1. Agreement to These Terms
1.1 This Agreement takes effect on the earlier of the date you click "I Agree" and the date you first install, access, or use the Application.
1.2 You represent and warrant that you have the legal capacity to enter into this Agreement and that you will comply with it and with all applicable laws and regulations.
1.3 The Application is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Application, including all intellectual property rights.
2. The Application; No Account Required
2.1 The Application is a local-first personal finance tool that runs on your own computer. It records and displays information you provide or import, and it can retrieve certain third-party data through connections you configure, as described in Sections 5 and 6.
2.2 You do not need to create an account, register, or provide us with any personal information in order to install or use the Application.
3. License Grant
3.1 Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Application on computers that you own or control, solely for your personal or internal business purposes.
3.2 You may make a reasonable number of copies of the Application for backup and archival purposes, provided that any such copy is used solely with the licensed Application and is subject to this Agreement.
4. License Restrictions
4.1 You must not, and must not permit any third party to: (a) copy, modify, translate, adapt, or create derivative works of the Application, except to the extent permitted by applicable law; (b) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, underlying structure, ideas, or algorithms of the Application, except to the extent that such restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, publish, or otherwise transfer the Application or make it available to any third party; (d) remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Application; or (e) use the Application to provide a service to third parties, or in any way that breaches any applicable law or the terms of any third-party service.
4.2 You are solely responsible for the devices, operating systems, credentials, and network access you use with the Application, and for maintaining the confidentiality and security of any credentials you configure.
5. No Financial, Tax, Legal, or Accounting Advice
5.1 THE APPLICATION IS AN ORGANIZATIONAL AND RECORD-KEEPING TOOL ONLY. IT DOES NOT PROVIDE, AND MUST NOT BE RELIED UPON FOR, FINANCIAL, INVESTMENT, TAX, LEGAL, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE.
5.2 Any figures, calculations, classifications, reports, allocations, budgets, balances, net-worth estimates, projections, or comparisons displayed by the Application are provided for informational and organizational purposes only. They are the result of data you supplied or imported and of automated calculations that may contain errors, omissions, or delays.
5.3 The Application does not take into account your personal circumstances, objectives, or financial position, and it does not recommend that you buy, sell, hold, or take any other action in respect of any security, asset, or transaction.
5.4 You should consult a qualified professional (such as a licensed financial adviser, accountant, tax adviser, or lawyer) before making any financial, investment, tax, or legal decision. Do not disregard professional advice, or delay seeking it, because of anything displayed by the Application.
6. Market, Price, and FX Data; Third-Party Data Sources
6.1 The Application may display market, price, security-classification, logo, and foreign-exchange rate data ("Market Data"). Market Data is obtained from third-party providers, either directly from providers whose application programming interfaces you connect to using credentials you supply, or through services we operate that pass requests to such providers.
6.2 We do not create, own, verify, audit, or republish Market Data. Market Data is supplied on an "as is" and "as available" basis by the relevant third party, and its use and display are subject to that third party's own terms, conditions, and licence restrictions. You are responsible for complying with the terms of any provider you connect to or whose data you access.
6.3 Market Data may be delayed, incomplete, inaccurate, unavailable, mis-identified, restated, or discontinued without notice. It may not reflect the price at which any security or asset can actually be bought or sold. We do not guarantee the accuracy, timeliness, completeness, reliability, or availability of any Market Data, and we are not responsible for any decision, loss, or damage arising from your use of or reliance on it.
6.4 Security classifications, categories, regions, and logos are generated on a best-effort basis and may be incorrect. They are provided to help you organize your records and are not authoritative.
6.5 Your access to third-party data may depend on providers that we do not control and on credentials and quotas that you manage. We do not guarantee that any provider, connection, or credential will continue to work.
7. Accuracy of Imported and Derived Data; Your Responsibility to Reconcile
7.1 The Application imports data from files, statements, and feeds you provide, and processes, categorizes, matches, and calculates based on that data using automated rules and logic. Automated processing may produce errors, including mis-categorized transactions, incorrectly matched transfers, and incorrect balances or reports.
7.2 You are solely responsible for reviewing, verifying, and reconciling the Application's records against your own official records, statements, and documents (for example, bank and brokerage statements). The Application is not a substitute for, and does not replace, the books and records you are legally or commercially required to keep.
7.3 You are solely responsible for the accuracy and lawfulness of all data you enter into, import into, or process with the Application.
8. Your Data, Local Storage, and Backups
8.1 The Application stores your data locally on your computer and, unless you configure it otherwise, does not transmit your financial records to us. You are solely responsible for your data, including its security, confidentiality, retention, and backup.
8.2 You are solely responsible for making and testing backups of your data. We are not liable for any loss, corruption, deletion, or unauthorized access to your data, however caused, including as a result of a failure of the Application, your device, your storage, or any third party.
8.3 If you choose to export or share your data, you do so at your own risk and are responsible for protecting it.
9. Usage Analytics and Diagnostics
9.1 The Application may collect limited, technical, and non-content usage and diagnostic information, such as application version, general feature usage, performance and error information, and a randomly generated or device-level identifier ("Diagnostic Data"), in order to operate, maintain, diagnose, and improve the Application.
9.2 Diagnostic Data is not intended to, and should not, include the contents of your ledger, the balances or values you record, your transaction details, or the credentials you configure. You should not enter sensitive personal information into free-text fields that are transmitted as part of Diagnostic Data.
9.3 We may use third-party service providers to collect, process, and store Diagnostic Data on our behalf, subject to reasonable contractual obligations. We may also use Diagnostic Data in aggregated or de-identified form for analytics and product-improvement purposes.
10. Third-Party Software and Components
10.1 The Application includes or may use third-party open-source software components, each of which is licensed under its own terms. Those components are provided under, and your use of them is governed by, their respective licence terms. Nothing in this Agreement limits any rights you have under those licences, and in the event of a conflict with those licences, those licences prevail as to the relevant component.
11. Fees
11.1 The Application may be offered free of charge, and we may in the future offer paid features, paid versions (including a "Pro" version), or subscriptions. If you obtain any paid version or feature, the fees, payment terms, and any additional terms we present at that time will also apply.
12. Disclaimer of Warranties
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND WE AND OUR LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR FREEDOM FROM ERRORS OR DEFECTS.
12.2 WITHOUT LIMITING SECTION 12.1, WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS; OR THAT ANY DATA, OUTPUT, OR MARKET DATA WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE APPLICATION, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
12.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT CASE, ANY IMPLIED WARRANTY OR CONDITION THAT CANNOT BE EXCLUDED IS LIMITED TO THE MINIMUM SCOPE AND DURATION PERMITTED BY APPLICABLE LAW.
13. Limitation of Liability
13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AQUA FLAMINGO LABS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, OR FOR ANY LOSS ARISING FROM OR RELATING TO ANY INVESTMENT, TRADING, FINANCIAL, TAX, OR ACCOUNTING DECISION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APPLICATION WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US FOR THE APPLICATION, INCLUDING ANY PAID OR "PRO" VERSION OR SUBSCRIPTION, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) CAD $0.00, IF YOU PAID NOTHING.
13.3 THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 13 APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13.4 NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER APPLICABLE CONSUMER PROTECTION LEGISLATION. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
14.1 To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Aqua Flamingo Labs Inc. and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Application; (b) your data or the data you import or process; (c) your breach of this Agreement; or (d) your violation of any law or the rights of any third party, including any third-party data provider's terms.
15. Termination
15.1 This Agreement is effective until terminated. You may terminate it at any time by stopping use of, and deleting, the Application.
15.2 We may suspend or terminate your license if you materially breach this Agreement. On termination, the license granted to you ends, and you must stop using the Application and delete all copies. Sections that by their nature should survive termination (including Sections 4, 5, 6, 7, 8, 12, 13, 14, and 17) will survive.
16. Changes to This Agreement
16.1 We may revise this Agreement from time to time, for example to reflect changes in the Application or in applicable law. When we make a material change, we will update the version number and effective date above and may require you to review and accept the revised Agreement before continuing to use the Application.
16.2 Your continued use of the Application after a revised Agreement takes effect means that you accept the revised Agreement. If you do not agree to a revised Agreement, you must stop using the Application.
17. Governing Law and Dispute Resolution
17.1 This Agreement and any dispute or claim arising out of or relating to it or the Application (whether in contract, tort, or otherwise) are governed by, and will be construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
17.2 Subject to any applicable mandatory consumer protection provisions, you and we submit to the exclusive jurisdiction of the courts located in Ontario, Canada, and you irrevocably waive any objection to the exercise of jurisdiction over you by such courts.
18. Severability and Waiver
18.1 If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18.2 Our failure to enforce any provision of this Agreement is not a waiver of that provision or of any other provision.
19. Entire Agreement
19.1 This Agreement, together with any additional terms we present to you in connection with any paid version, feature, or subscription, constitutes the entire agreement between you and us regarding the Application and supersedes any prior or contemporaneous understandings on that subject.
19.2 You may not assign this Agreement, in whole or in part, without our prior written consent. We may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.
